Please read this document carefully. It contains important information about your rights and responsibilities as well as limitations and exclusions.

This is a User Terms and Conditions of the ‘marketplace’   service that exclusively governs and contains all the terms and conditions which apply to all interactions on the platform.

PURPOSE

  1. The marketplace is a buyer meets seller platform and is developed by SENCE Agric to solve the problem of access to markets experienced by farmers and micro-processors within the agriculture space. It provides an opportunity for sellers to expand their markets and reach new customers and also provides bulk purchasers with a platform to source for the raw materials they need for their production.
  2. This platform is open to all farmers, input dealers and processors. This platform assists farmers and processors’ with loss of income issues due to the activities of the middlemen, poor infrastructure etc by widening their market reach.
    1. By farmers we mean persons who own, cultivate, manage, harvest and make decisions about the farm and its products.
    2. By processors we mean persons who add value to agricultural products.
    3. By input dealers we mean persons who deals with farm inputs such as seeds, fertilizer, equipment etc.

THE PARTIES

The parties to this service shall be

  1. ‘Buyer’ means the organization or person registered to buy produce through the platform.
  2. Vendor’ means all the sellers registered to sell agricultural produce through the platform.
  3. ‘SIte Owner’ means SENCE Agric the owners and managers of the platform.

ROLES OF THE PARTIES

The roles of the parties are as stated below;

‘Buyer’: The buyer’s roles are as follows

  1. To select and purchase product (s) and end transaction on the platform
  2. To pay the appropriate prices for the produce.
  3. Agree on quality and quantity of produce to be delivered (Custom order)
  4. Ensure delivery and inspect the agreed quantity and quality of produce
  5. Pay for delivery service or decide the mode of delivery.
  6. Report any violations, fraud, abuse of process, and disregard for the rules and regulations set for this purpose.

‘Vendor’: The Vendor’s roles are as follows:

  1. Set up shop and showcase its produce on the platform
  2. To provide accurate information as to the quantity, quality and price of the produce
  3. To provide accurate delivery information to buyers. Such as time and date of delivery of produce
  4. Receive payment for produce sold after the produce has been confirmed received by the buyer
  5. Pay commission to Site Owner for any goods sold in the platform
  6. Constantly review its products to reflect the present status such as (out of stock or available for purchase)
  7. Report any violations, fraud, abuse of process and disregard for the rules and regulations set for this purpose.

 ‘SIte Owner’: The intermediary’s roles are as follows;

  1. Provide the platform for the buyers and sellers to meet.
  2. Remit Vendor’s earnings in a timely manner
  3. Provide mediation services in case of dispute
  4. Provide additional services such as “Assisted buying and Custom order” for bulk purchases.
  5. Provide delivery service to interested person.
  6. Drive traffic to the platform.

TERMS OF SALE

By placing an order you are offering to purchase a product via the SENCE Agric Marketplace which is subject to the following terms and conditions.

  1. All orders are subject to availability and confirmation
  2. All orders are considered for processing/dispatch once the full payment of the goods has been confirmed.
  3. All payment for goods on the platform shall be made only to SENCE Agric account only.
  4. When placing an order you undertake that all details you provide to us are true and accurate.

FEES AND COMMISSION

The marketplace attracts different categories of fees

  1. Any vendor who meets the criteria can set up shop on the market place for a one- off set -up fee of N10,000.
  2.  Vendors pay a Commission of 5% up to a maximum of N10,000 on each transaction which shall be deducted before remitting the balance to the vendor upon the conclusion of transactions.
  3. An additional 1.4% of the transactions will be deducted for bank charges.
  4. The marketplace provides opportunities for vendors to advertise their products within the marketplace.   The following are the costs of advertising on the marketplace for vendors.
    • Advertisement for large banner cost N50,000/month  or 15,000/week)
    • Advertisement for small banner cost N30,000.00/month or N10,000.00/week)

ARBITRATION

The Intermediary will attempt to resolve any dispute, claim or controversy between a Buyer and a Vendor arising out of the transaction entered into on the platform.

If the parties are unable to resolve the dispute through negotiation within a reasonable time from the date of registering the complaint, the dispute, with the agreement of both parties will be referred to the Chartered Institute of Arbitrators or any other competent body.

INDEMNITY

It is assumed that any representation made by any vendor on the marketplace is accurate and is exactly as expected.  Any defaulting vendor will indemnify the site owner for any loss suffered as a result of the default, misrepresentation, fraud and any other infraction.

GOVERNING LAWS

All provisions of these terms and conditions shall be governed by the LAWS OF THE FEDERATION OF NIGERIA.

CHANGES TO TERMS AND CONDITIONS

The site owner reserves the right to change any and all the provisions of these terms and conditions with or without notice to the users of the platform.

RIGHTS OF THE USERS

Nothing in these terms and conditions shall be construed as infringing on the rights of the Users of this platform.

DEFINITION OF TERMS

  1. ‘Buyer’ refers to any party who is desirous of buying produce, commodity, and inputs from the platform. A Buyer can be a company or individual.
  2. ‘Vendor’ refers to any party who is a farmer, farm owner, farm manager, agro-processor input seller or other such persons who has the legal right to sell produce grown or produced by him or is caused to be grown  or processed  by him.
  3. ‘Site Owner’ refers to SENCE Agric the owners of the marketplace, the intellectual property inherent in the service and all other rights under this service.
  4. ‘Users’ refers to all users of the platform whether Buyer or Vendor or the ‘curious’.
  5. ‘Parties’ refers to the Buyer and/or Vendor and/or Site Owner involved in a transaction.
